Preamble

Welcome to the Fullsecure Affiliate Program. By signing up as an affiliate, you agree to comply with the following terms and conditions. Please read these terms carefully before registering.

Article 1: Program Enrollment

1.1 Complete the registration form to become an affiliate. Your application will be subject to approval by our team.
1.2 We reserve the right to reject any application at our sole discretion.
1.3 Provide accurate and complete information during the registration process.

Article 2: Use of Affiliate Links

2.1 You will receive unique affiliate links to promote our products.
2.2 Use the links as provided without modifying them in any way.
2.3 Any modification to the links may result in the loss of associated commissions.
2.4 Ensure that your promotional activities comply with our branding guidelines

Article 3: Commission Structure and Performance-Based Bonuses

3.1 Standard Commission Rates

  • 13%** for software products (e.g., PassCypher HSM PGP, DataShielder NFC HSM).
  • 9%** for hardware products (e.g., EviKey USB).

3.2 Client Discount

  • 7% discount** for clients using affiliate links for software and one-time purchases.
  • 6% discount** for hardware products.

3.3 Impact of Discounts on Commissions

The customer discount does not affect the commission calculation. Commissions are still based on the pre-discounted sale value, ensuring affiliates receive the full benefit of their efforts.

3.4 Performance-Based Bonuses

  • +1%** for monthly sales exceeding €5,000.
  • +2%** for monthly sales exceeding €10,000.
  • +3%** for monthly sales exceeding €20,000.

Performance bonuses are cumulative with base commissions. For example, if an affiliate generates €20,000 in software sales, their total commission will be 16%.

3.5 Maximum Potential Commission

  • Up to 16% for software products.
  • Up to 12% for hardware products.

3.6 Repeated Purchase Commissions

Affiliates earn commissions on all subsequent purchases made by a customer initially referred through their affiliate link, provided:

  • The cookie is active (valid for 45 days).
  • No other affiliate link has been used.

3.7 Calculation and Payment

  • Commissions are calculated on net sales (excluding taxes and shipping fees).
  • Payments are issued monthly, provided the minimum payout threshold is met.

Article 4: Compliance with Laws

4.1 Affiliates must comply with laws and regulations governing encryption products, including dual-use items.
4.2 Affiliates must obtain any necessary licenses for promoting or importing encryption products.

Article 5: Prohibited Sales Regions

5.1 Fullsecure products cannot be sold in:

  • France: Exclusive rights for dual-use encryption products are held by AMG Pro.
  • Sanctioned Countries: As listed by the UN, EU, or OFAC.

5.2 Affiliates promoting Fullsecure products in restricted regions are subject to immediate termination.
5.3  Affiliates are also responsible for ensuring compliance with local advertising regulations in non-restricted regions.

Article 6: Marketing Guidelines

6.1 Affiliates must not:

  • Use misleading or deceptive advertising.
  • Engage in spamming or invasive promotional practices.

6.2 Affiliates must clearly disclose their affiliate relationship in all promotional content.

6.3 Social Media Guidelines
6.3.1 Affiliates must adhere to Fullsecure’s branding and ethical standards when promoting products on social media platforms.
6.3.2 All promotional content must align with the company’s values and avoid misleading or incendiary material.
6.3.3 Fullsecure reserves the right to request modifications or the removal of any content that violates these guidelines.

Article 7: Definitions of Fraudulent Activities

7.1 The following actions are strictly prohibited and will be considered fraudulent or inappropriate conduct:

  • The use of bots or automated systems to generate clicks or activity.
  • Failure to comply with established promotional guidelines.
  • The use of false identities or misrepresentation of information.

7.2 Sanctions:
Any violation of these terms will result in immediate termination of your affiliate account and forfeiture of any pending commissions.

Article 8: Dedicated Support and Training

8.1 To enhance affiliate performance, Fullsecure provides the following resources:

  • Monthly Online Training Sessions: Free interactive workshops to improve affiliate strategies and outcomes.
  • Webinars: Regular webinars featuring insights, tips, and best practices from industry experts.
  • Priority Support Access: Affiliates receive priority assistance from the Fullsecure support team to address technical or strategic concerns.

Article 9: Affiliate Referral Bonus Program

9.1 Affiliates can earn additional rewards by referring others to join the Fullsecure Affiliate Program:

  • Referral Incentive: For each approved new affiliate recruited, the referring affiliate will receive a one-time bonus of 5% of the initial commissions generated by the new affiliate.
  • Eligibility: The referred affiliate must be approved by Fullsecure and generate eligible sales within the first three months of joining.

Article 10: Exclusive Partnership Clauses

10.1 Affiliates may collaborate with other brands or promote similar products, provided they adhere to the following guidelines:

  • Transparency: Affiliates must disclose any potential conflicts of interest or partnerships with competing brands.
  • Approval Requirement: Any exclusive collaborations involving Fullsecure’s products must receive prior written approval from the company.

10.2 Affiliates are prohibited from simultaneously promoting competing products alongside Fullsecure products unless prior written approval is obtained. Example, Affiliates agree not to endorse or advertise cybersecurity products from competing brands while participating in the Fullsecure Affiliate Program without explicit consent.

Article 11: Term and Automatic Renewal Clause

11.1 The affiliate agreement is established for an initial period of one year, with the following conditions:

  • Automatic Renewal: Participation in the program will automatically renew annually unless terminated in writing by either party.
  • Notice of Termination: A written notice must be submitted at least 30 days before the end of the current term to avoid automatic renewal.

Article 12: Affiliate Performance and Dashboard

12.1 Affiliates will have access to a real-time dashboard featuring:

  • Sales, clicks, and commission tracking.
  • Monthly performance summaries.
  • Access to promotional resources and updates.

12.2 Regularly review your performance and adjust your promotional strategies as needed.
12.3 You may terminate your participation at any time via the Affiliate Support Form.
12.4 Upon termination, remove all promotional materials and affiliate links immediately.

Article 13: Data Protection and Security

13.1 You must protect the confidentiality and security of information related to our products and affiliate program.
13.2 Any unauthorized disclosure of confidential information may result in the termination of your affiliation.
13.3 You must implement appropriate security measures to protect customer data and prevent unauthorized access.4
13.4 Affiliates are required to comply with applicable data protection laws, including but not limited to:

  • GDPR (General Data Protection Regulation) for EU customers.
  • CCPA (California Consumer Privacy Act) for California residents.

13.5 Affiliates must ensure all data collected during promotional activities is securely stored and processed in compliance with these regulations.
13.6 Failure to meet these obligations may result in suspension or termination of the affiliate agreement.

Article 14: Commissions and Payments

14.1 Calculation of Repeated Purchase Commissions

Commissions for repeated purchases are automatically included in the monthly payout if the initial referral cookie remains active.

14.2 Payment Terms

  • Payments are issued monthly via the preferred method selected in your affiliate dashboard.
  • Repeated purchase commissions follow the same payout timeline as initial purchase commissions.

14.3 Transparency on Discount Impact

The client discount applied to purchases through affiliate links does not impact the commission calculation. Affiliates continue to earn based on the original pre-discounted sale value.

14.4 Compliance Verification

Affiliates must proactively verify that their activities meet local, national, and international compliance standards.

Article 15: Compliance with Sanctions Lists

15.1 You must comply with international sanctions lists, such as those of the United Nations, the EU, and OFAC.
15.2 It is strictly prohibited to sell, transfer, or allow access to DataShielder products to any entity or individual listed on these sanctions lists.
15.3 You must regularly check the sanctions lists to ensure compliance.

Article 16: Termination and Dispute Resolution

16.1 Affiliates may terminate their participation at any time by notifying Fullsecure via the Affiliate Support Form.
16.2 Upon termination, any remaining commissions will be paid within 30 days, provided the minimum payout threshold is met.
16.3 Any disputes arising out of or in connection with these terms and conditions will be resolved through amicable negotiations or submitted to the courts of Andorra..

Article 17: General Responsibility and Export Compliance

17.1 Affiliates must comply with export regulations and sanctions.
17.2 Affiliates are prohibited from selling or transferring Fullsecure products to restricted individuals or territories.
17.3 Proactively ensure compliance with all relevant laws and regulations.
17.4 Fullsecure will not be liable for any loss of revenue or commissions caused by technical interruptions or restrictions imposed by local regulations.

Article 18: Compliance with Sanctions Lists

18.1 Affiliates must ensure that Fullsecure products are not exported or transferred to countries subject to international embargoes or trade sanctions.
18.2 Affiliates must verify the end-use and end-users of the products to prevent misuse.
18.3 Affiliates must proactively verify that their activities meet local, national, and international compliance standards.

Article 19: End-Use Control

19.1 You must ensure that DataShielder products are not exported or transferred to countries subject to international embargoes or trade sanctions.

Article 20: Prohibition of Use in Weapon Systems

20.1 DataShielder products may not be used for the development, production, or integration into weapon systems, unless expressly authorized by the competent authorities.
20.2 You must obtain necessary approvals for any military-related use of the products.

Article 21: Limitation of Rights in Case of Armed Conflict or Military Intervention

21.1 The rights to use DataShielder products may be limited in case of armed conflict, military intervention, or exceptional situations endangering national security.
21.2 You must comply with any restrictions imposed by relevant authorities during such situations.

Article 22: Prohibition of Reverse Engineering

22.1 You may not attempt to disassemble, modify, or reverse engineer DataShielder products.
22.2 Any violation of this clause may result in legal sanctions and immediate termination of the affiliate contract.

Article 23: Exclusive Distribution for Dual-Use Products

23.1 Dual-use encryption products are exclusively reserved for distribution within France by AMG Pro, a company holding the necessary legal authorizations from French authorities to import such products.
23.2 Any affiliate requests for these products must obtain approval from AMG Pro.
23.3 You must not distribute these products outside the authorized territory.

Article 24: Modifications to Terms and Conditions

24.1 We reserve the right to modify these terms and conditions at any time.
24.2 You will be informed of any changes by email or via our website.
24.3 Your continued participation in the affiliate program after notification of changes constitutes your acceptance of the new terms.

Article 25: Acceptance of Terms

25.1 By signing up as an affiliate, you accept these terms and conditions in their entirety.
25.2 If you do not accept these terms, please do not register or immediately cease your participation in the program.

Article 26: Marketing and Promotional Guidelines

26.1 You must adhere to our marketing and promotional guidelines when advertising our products.
26.2 You must not engage in any misleading or deceptive advertising practices.
26.3 You must clearly disclose your affiliate relationship with Fullsecure in all promotional materials.

Article 27: Intellectual Property

27.1 Affiliates are granted a limited, non-exclusive, non-transferable license to use Fullsecure’s trademarks, logos, and other intellectual property solely for promoting Fullsecure products.

27.2 Affiliates must not modify Fullsecure’s trademarks, logos, or intellectual property in any way that could harm the brand’s reputation or integrity.

27.3 Any promotional content created by affiliates to market Fullsecure products remains their intellectual property. However, Fullsecure reserves the right to request modifications or removal of any content that:

  • Violates marketing guidelines,
  • Harms the Fullsecure brand, or
  • Is deemed inappropriate.

27.4 In cases of misuse or breaches of these guidelines, Fullsecure will enforce corrective actions, including the immediate withdrawal of the content and potential suspension or termination of the affiliate account.

27.5 By adhering to these standards, affiliates can confidently leverage Fullsecure’s intellectual property while producing engaging content that aligns with the company’s values and strengthens mutual trust.

7.6 Fullsecure retains the right to repurpose affiliate-generated content (e.g., blog posts, videos) for internal or external promotional purposes, with proper attribution to the affiliate.

Article 28: Reporting and Analytics

28.1 You will have access to a dashboard where you can track your affiliate performance, including clicks, conversions, and commissions.
28.2 You must regularly review your performance and ensure that your promotional activities are effective and compliant with our guidelines.

Article 29: Confidentiality

29.1 You must maintain the confidentiality of any proprietary information provided to you by Fullsecure.
29.2 You must not disclose any proprietary information to third parties without our prior written consent.
29.3 Affiliates agree not to disclose or share any tools, strategies, or data related to the Fullsecure Affiliate Program with external parties without written permission.

Article 30: Termination

30.1 We reserve the right to terminate your affiliation at any time, with or without cause.
30.2 Upon termination, you must immediately cease using our affiliate links and promotional materials.
30.3 Any outstanding commissions will be paid to you within 30 days of termination, provided that they meet the minimum payment threshold.

Article 31: Dispute Resolution

31.1 Any disputes arising out of or in connection with these terms and conditions will be resolved through amicable negotiations.
31.2 If the parties are unable to resolve the dispute through negotiations, the dispute will be submitted to the courts of Andorra.

Article 32: Governing Law

32.1 These terms and conditions will be governed by and construed in accordance with the laws of Andorra.
32.2 Any legal action or proceeding arising out of or in connection with these terms and conditions will be brought exclusively in the courts of Andorra.

Article 33: Limitation of Liability

33.1 Fullsecure will not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with your participation in the affiliate program.
33.2 Our total liability to you for any cause of action arising out of or related to these terms and conditions will be limited to the total amount of commissions paid or payable to you under these terms.

Article 34: Indemnification

You agree to indemnify, defend, and hold harmless Fullsecure, its affiliates, and their respective directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with your participation in the affiliate program, including but not limited to any breach of these terms and conditions.

Article 35: Severability

35.1 If any provision of these terms and conditions is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect.
35.2 The invalid or unenforceable provision will be deemed modified to the extent necessary to make it valid and enforceable, and the rights and obligations of the parties will be construed and enforced accordingly.

36.1 These terms and conditions constitute the entire agreement between you and Fullsecure with respect to the affiliate program and supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and Fullsecure.
36.2 Any modifications to these terms and conditions must be in writing and signed by both parties.

Article 37: Prohibition of AI Misuse

37.1 Affiliates are strictly prohibited from using AI tools for fraudulent activities, including but not limited to:

  • Automated clicks.
  • Deceptive advertisements.
  • Content designed to mislead customers or manipulate results.

37.2 Any violation of this clause will result in immediate termination of the affiliate account and forfeiture of pending commissions.

Article 38: AI and Data Ethics

38.1 Affiliates using AI tools for any purpose, including content creation, must adhere to emerging standards of AI ethics, ensuring:

  • Transparency in AI-generated outputs.
  • Avoidance of discriminatory, harmful, or misleading content.
  • Full disclosure of AI usage in compliance with applicable regulations.

38.2 Affiliates must periodically review and update their AI tools to maintain alignment with industry standards and Fullsecure’s ethical guidelines, ensuring ethical and accurate AI-driven activities.

Article 39: Sustainability Initiatives

39.1 Fullsecure encourages affiliates to promote the eco-friendly aspects of cybersecurity products, including:

  • Reduced environmental impact in manufacturing and distribution.
  • Sustainable packaging practices.
  • Energy-efficient operational features of products.

39.2 Affiliates are encouraged to highlight these initiatives in their promotional activities to align with environmentally conscious consumer preferences.

Article 40: Data Encryption Requirements

40.1 Affiliates must use encryption when:

  • Storing customer data, such as email lists for marketing purposes.
  • Transmitting sensitive information to third parties.

40.2 Failure to implement proper encryption measures may result in termination of the affiliate agreement.

Article 41: Incident Reporting and Liability

41.1 Incident Reporting: Affiliates are required to report any of the following to Fullsecure immediately:

  • Security breaches involving customer data or affiliate links.
  • Suspicious activities suggesting misuse of affiliate resources.
  • Unauthorized access or tampering with affiliate accounts.

41.2 Liability for Misuse: Affiliates may be held responsible for damages resulting from negligence, including:

  • Weak password practices.
  • Failure to secure affiliate links or access credentials.
  • Mismanagement of sensitive customer information.

41.3 Fullsecure reserves the right to audit reported incidents and impose penalties, including suspension or termination of the affiliate account, based on the severity of the issue.

Article 42: Paid Advertising Guidelines

42.1 Affiliates must not bid on keywords containing “Fullsecure” or close variants in search engine or social media advertising campaigns without prior written approval.

42.2 To ensure fairness, Fullsecure actively monitors keyword bidding activities. Any violation of this clause will trigger an investigation, which may lead to account suspension or termination.

42.3 By adhering to these guidelines, affiliates can maintain trust and ensure their campaigns align with Fullsecure’s brand values.

Article 43: Early Termination Policy

43.1 Either party may initiate early termination of the affiliate agreement by providing written notice at least 30 days in advance, except in cases of serious contract violations.

43.2 Fullsecure guarantees the payment of commissions for all valid sales completed prior to the termination date, provided the affiliate has fully complied with the agreement’s terms.

43.3 In the event of serious misconduct or negligence, Fullsecure reserves the right to terminate the agreement immediately, without obligation to pay future commissions.

43.4 This structured policy ensures transparency and accountability, fostering trust between affiliates and Fullsecure.

Article 44: Feedback and Continuous Improvement

44.1 Fullsecure encourages affiliates to provide constructive feedback about the program.
44.2 Affiliates can share suggestions via the Affiliate Support Form.
44.3 Fullsecure values affiliate input and strives for continuous improvement based on feedback.

Article 45: Inter-Affiliate Dispute Resolution

45.1 In the event of a conflict between affiliates regarding sales or commissions, Fullsecure will act as a mediator to resolve the issue promptly and fairly.
45.2 Affiliates must submit any claims through the Affiliate Support Form, accompanied by all necessary documentary evidence.
45.3 Based on the provided evidence, Fullsecure reserves the right to make a final, binding decision to ensure an equitable resolution.

Article 46: Sponsored Content Guidelines

46.1 Affiliates must obtain prior written approval from Fullsecure before launching sponsored advertising campaigns that include keywords related to the Fullsecure brand.
46.2 All campaigns must adhere to Fullsecure’s branding guidelines and must not divert leads from other affiliates or create unfair competition within the program.

Article 48: Use of Customer Reviews and Testimonials

48.1 Affiliates are permitted to publish only authentic and verified customer reviews or testimonials when promoting Fullsecure products.
48.2 Any falsified reviews or testimonials will result in strict sanctions, including suspension or termination of the affiliate agreement, ensuring the integrity of promotional practices.

Article 50: AI Use in Customer Support

50.1 Affiliates may utilize AI tools for customer support, provided they maintain transparency in disclosing AI usage during customer interactions.
50.2 Affiliates must ensure that AI tools are configured to provide accurate, clear, and customer-centric responses. Any mishandled or misleading interaction that results in customer confusion will trigger a review of the affiliate’s practices, with potential corrective measures to safeguard trust.

Article 51: Escalation and Major Violations

51.1 Major violations, including but not limited to fraudulent activities, severe breaches of these terms, or abuse of trust, will be escalated to Fullsecure’s legal team for thorough investigation.
51.2 Affiliates found guilty of such violations will face immediate termination from the program, forfeiture of any pending commissions, and may be subject to legal action in accordance with applicable laws.
51.3 Fullsecure reserves the right to notify relevant authorities or regulatory bodies in cases involving criminal behavior or actions that compromise customer data or the integrity of the affiliate program.
51.4 Affiliates will be informed of the investigation outcome and any imposed sanctions in writing, ensuring transparency and fairness in the resolution process.

Article 52: Cookie Duration

52.1 Standard Cookie Duration

Affiliate cookies remain valid for 45 days, ensuring affiliates earn commissions on all purchases made during this period.

52.2 Impact on Repeated Purchases

If the customer makes multiple purchases within the 45-day cookie period, all these purchases qualify for affiliate commissions, provided no other affiliate link is used.

52.3 Should the cookie duration change

Fullsecure will notify affiliates via email or through an update to the program’s terms and conditions, with at least 0 days’ advance notice.
